Overview: Corporate Governance (CG) is the framework that defines the set of values and practices that an organization follows in carrying out its activities. CG framework has an internal and an external dimension. The former refers to the role of the top management and other employees in driving the organization. The latter refers to the role of board of directors and its relationship with the top management in safeguarding and maximizing the shareholder returns. Companies need to emphasize on both dimensions of CG to ensure success for the organization. The paper examines this issue.
