Overview: Corporate Governance (CG) framework refers to set of laws, institutions and practices evolved over time to address the internal issues of the organization. It consists of mechanisms to ensure that management’s actions are consistent with the interests of the stakeholders. It is a tool to motivate the top management in the organization. There are, however, certain problems in effecting a sound CG framework in the organization. This includes erroneous pay-performance ratio. The paper discusses basic principles of CG and examines some problems in effecting the same.
