Overview: This article discusses a case of NCS-Omni care, which, have been considered, as the new landscape for M&A. Recent developments in Delaware law will have important repercussions for structuring M&A deals. The Delaware Supreme Court has finally released its long-awaited opinion in the controversial battle for control of NCS healthcare, Inc. Some have suggested that the NCS decision is the Delaware Supreme Court’s most controversial decision. It remains to be seen just how sweeping and historically significant the court’s ruling will prove to be in practice. In the meantime, bidders and targets will need to tread carefully when designing and implementing lockup mechanisms to protect a deal.
