Overview: The Securities and Exchange Commission (SEC)has adopted rule and formed amendments to mandate the electronic filing, and Web site posting by issuers with corporate Web sites, of beneficial ownership reports filed by corporate officers, directors and principal security holders on Forms 3, 4 and 5 under Section 16(a) of the Securities Exchange Act of 1934, as amended (the Exchange Act). Commencing on. In addition, the new rules require that corporate issuers that maintain a corporate Web site post on their Web site, or provide a suitable hyperlink to, all Forms 3, 4 and 5 filed with respect to their equity securities by the end of the business day after such reports have been filed. The new rules become effective on June 30, 2003.
