Overview: Most business owners do not consider the potential for an antitrust review of their proposed acquisition transactions. Actual antitrust review of most restaurant acquisitions does not occur for a variety of reasons. Given the growing number of multiple unit restaurant operators, the rapid consolidation of franchised restaurants, and the large size of sale transactions including large sales by franchisors, potential antitrust review of a transaction should be considered a strong possibility. The safest manner in which to think of antitrust law is that antitrust laws apply to all business activity even stock and asset acquisition transactions. This is a true statement as every acquisition transaction is subject to antitrust law, but not necessarily review by Federal authorities for potential anti competitive effects of a transaction.
