Overview: This statement sets out the key corporate governance principles adopted by the Directors in governing the Lend Lease Group. In preparing the statement, the Directors recognize that the Group operates in many different countries. The Company is listed on the stock exchanges of Australia (primary listing) and New Zealand and is registered with the Securities and Exchange Commission (SEC) in the US. In formulating the governance practices, Directors have taken into account the regulatory requirements and best practice processes in each jurisdiction. The main focus of the Lend Lease Board is the long-term health and prosperity of the Group for the benefit of shareholders. The Board places great importance on the governance of the Group and reflecting this commitment, the Board continually reviews its governance practices to ensure these practices promote shareholder value, evaluate the Group’s material risks, and address Lend Lease’s obligations as a responsible corporate citizen. The Australian Stock Exchange (ASX) Corporate Governance Council released its Principles of Good Corporate Governance and Best Practice Recommendations on 31 March 2003.
