Overview: This is the annual report of NSTAR for the year 2002. The 2002 earnings from operations of $3.38 per share represent a 4.6% increase over 2001. Earnings as reported totaled $3.05, reflecting a net charge of $0.33 per share relating to the company’s investment in RCN Corporation. The total shareholder return (stock price appreciation plus dividends) for the year totaled 3.9%, significantly outperforming the Edison Electric Institute’s (EEI) Index of 65 utility companies and the S&P 500 Index, which posted declines of 14.7% and 22.1%, respectively. NSTAR’s total shareholder return has exceeded the EEI Index and the S&P 500 Index over the past one, five and ten year periods – a record of which we are quite proud. In December 2002, the NSTAR Board of Trustees voted to raise the quarterly dividend to an annualized rate of $2.16 per common share – our fifth consecutive year of increasing the dividend.
