Overview: Delta's Board of Directors first adopted formal corporate governance principles in 1998. Delta’s Board of Directors believes that sound corporate governance practices provide an important framework to assist the Board in fulfilling its responsibilities. The Board reviews these principles periodically. The Board will evaluate the performance of the Chief Executive Officer at least annually. The evaluation will be based on objective criteria. Each year the Board will review and approve Delta’s one-year business plan, as well as its long-term strategic plan, aircraft fleet plan and financial goals. Each director will complete a written assessment of the Board’s performance in specified categories such as fiduciary oversight. The Board has the responsibility for nominating directors. The Board will review annually with the Chief Executive Officer management succession planning and development. The Board believes that management speaks for Delta.
