Overview: This article is a review of a random sampling of large-company proxy statements filed with the SEC during February-March 2003. It analyzes recent trends about short-term incentives, long-term incentives, and ownership guidelines. It reviewed the proxies of companies with name recognition and extracted plans, plan features or policies which are either (i) innovative or unique, or (ii) representative of a trend. With regard to representative plans/policies, for example, dozens of companies have recently instituted stock ownership requirements (guidelines) for their executive officers.
