Overview: This newsletter discusses the changes that will require reclassification of debt that can be settled by the issuer with its own shares. Some companies may have to revisit debt covenants. For several years, Canadian GAAP has required that debt that can be settled by the issuer by delivering its own shares be included in equity in the financial statements. The theory here was that the company could not be required to deliver cash or other financial assets to settle the liability. The CICA Accounting Standards Board has issued an exposure draft that would require that such instruments be shown as debt in most cases.
