Overview: An executive compensation and benefit consulting services firm has been a JPMorgan client since 1998. The client announced an agreement to be acquired by one of the world's largest insurance firms. In conjunction with the acquisition, the purchaser intended to spin off several business units to a third party. The management team formed a new entity to place a bid for these business units, and needed committed senior and junior debt to offer a competitive purchase price. Based on historic sales growth and cash flow of the spun out business units, Chase Capital provided the new entity with a commitment for a supplemental mezzanine credit facility.
